Job Description
BOARD OF TRUSTEES - VOLUNTEER
DUTIES:
Each director is responsible to act honestly, in good faith and in the best interests of the hospital and, in so doing, to support the corporation in fulfilling its mission and discharging its accountabilities.
The Board has three legal duties:
· A duty of obedience to the charitable purpose of the organization, a duty that should be demonstrable in all the Board’s decisions.
· A duty of loyalty, to act based on best interests of the organization and the wider community it serves, not the narrow interests of an individual or stakeholder group.
· A duty of care, to be diligent in carrying out the work of the Board by preparing for meetings, attending faithfully, participating in discussions, asking questions, making sound and independent business judgments, and seeking independent opinions when necessary.
RESPONSIBILITIES OF THE BOARD:
· Provide for excellent management. Select, support, advise and evaluate the Chief Executive Officer and Chief of Staff.
· Establish policies. Approve and periodically review policies affecting the organization and the operation of the Board.
· Approve strategic direction and monitor performance. Approve a mission, vision and strategic direction for the health system; approve a strategic plan; review and approve major transactions and significant new programs and services; and monitor organizational performance against goals.
· Ensure financial viability. Approve financial goals; approve a long-range financial plan and annual, operating and capital budgets; approve investment policies; monitor financial performance and investment performance against goals; and oversee the audit process.
· Ensure clinical quality, patient safety and customer service excellence compared to external benchmarks. Approve quantitative goals and monitor performance. Approve annual plans for performance improvement and patient safety; and monitor indicators of clinical outcomes, patient safety, quality of service, and community benefit/mission effectiveness.
· Ensure quality of medical staff. Approve medical staff bylaws, review and approve appointments, reappointments and clinical privileges for individual practitioners, based on fully documented medical staff recommendations.
· Build relationships. Build relationships and support the organization’s policies with key stakeholders, political leaders and community partners.
· Ensure compliance. Establish and oversee programs to ensure that the organization fulfills legal, regulatory and accreditation requirements.
· Ensure Board effectiveness. Ensure the effectiveness of Board governance through regular self assessment and improvement of governance.
Accountability
A Board member is ultimately accountable to act in the best interests of the community as a whole and the mission of Lakeridge Health. The Board member carries out their responsibilities in recognition of a fiduciary responsibility and does not represent the interests of any constituency or individual.
Confidentiality
The Board member does not disclose proprietary, sensitive or personnel-related information.
Teamwork
A Board member shall develop and maintain sound relations and work cooperatively and respectfully with the Board chair, members of the Board and senior management.
Time and Commitment
A Board member is expected to commit the time required to perform Board and committee duties. It is expected that a director will devote a minimum of between [8 and 12] hours per month.
The Board meets approximately nine times a year and a director is expected to adhere to the Board’s attendance policy that requires attending at least 66 percent of Board meetings.
A director is expected to serve on at least one standing committee. Committees generally meet monthly.
Continuous Improvement
A director shall commit to be responsible for continuous self-improvement. A director shall receive and act upon the results of Board evaluations in a positive and constructive manner.
Term and Renewal
A director is elected for a term of three years and may serve for a maximum of nine years. A director’s renewal is not automatic and shall depend on the director’s performance.
CONDITIONS OF EMPLOYMENT:
Successful External applicants must provide a satisfactory Criminal Investigation Reference for the vulnerable sector, dated within the past six (6) months.
